1. Parties and Agreement Structure
These Terms of Use (“Terms”) govern general access to and use of the Dynamics Mobile platform, including our websites, mobile applications (Android, iOS, Windows, PWA), Dynamics Mobile Portal and (collectively, the “Services”) and software add-ons for third party systems
The Services are operated by Mobile Affairs Ltd., doing business as “Dynamics Mobile” (“Dynamics Mobile”, “we”, “us”, or “our”).
By accessing or using the Services, you agree to:
These Terms of Use;
Our Privacy Policy;
Our Software License Agreement, which governs your use of any Dynamics Mobile software and integrations;
A Subscription Agreement executed with you, setting out your subscription scope, pricing, term, and other commercial terms; and
A Service Level Agreement (SLA), executed separately, which sets out our support and service level commitments.
2. Corporate Accounts and Authorized Users
If you are an organization (including a corporation, partnership, or other legal entity) entering into the Subscription Agreement and related agreements, you are responsible for ensuring that all employees, contractors, or other authorized personnel to whom you grant access to the Services (“Authorized Users”) comply with these Terms, the Software License Agreement, and the SLA.
All actions taken under your accounts are deemed to be actions by you. You are responsible for the acts and omissions of all Authorized Users in connection with their use of the Services.
3. Privacy
Our Privacy Policy explains how we collect, use, and protect personal data and business data processed through the Services, in compliance with applicable laws (including GDPR and, where applicable, CCPA).
4. General Platform Access and Conduct
You agree to use the Services lawfully and in accordance with these Terms. You must not:
Attempt to gain unauthorized access to any part of the Services or related systems;
Introduce viruses, malware, or harmful code;
Interfere with or disrupt the operation of the Services;
Use the Services to infringe the rights of others or violate applicable law.
We may suspend or terminate access to the Services if you violate these rules.
5. Accounts and Security
Where the Services require an account:
You are responsible for maintaining the confidentiality of your credentials;
You are responsible for all activity under your account;
You must notify us immediately of any unauthorized use.
We may disable or suspend accounts in cases of security concerns or violations.
6. Customer Data
Ownership, permitted use, and protection of your business data processed by the Services (“Customer Data”) are governed by the Software License Agreement.
In summary:
You retain ownership of your Customer Data;
We may store and process it only as necessary to deliver the Services, fulfill support requests under the SLA, and comply with legal obligations;
We will protect it in accordance with applicable data protection laws.
7. Third-Party Systems and Integrations
The Services may integrate with, connect to, or be delivered with extensions, add-ons, connectors, or similar components (“Add-Ons”) designed to work with third-party systems or services.
Your rights and responsibilities for such integrations and Add-Ons, including any licensing requirements, are set out in the Software License Agreement.
You are solely responsible for:
Obtaining and maintaining valid licenses or subscriptions for any third-party systems used with the Services or Add-Ons; and
Ensuring compliance with all terms governing such third-party systems.
We are not responsible for the availability, licensing, performance, or support of third-party systems, and our obligations are limited to the Add-Ons we develop or supply.
8. Intellectual Property
All intellectual property rights in the Services and related materials are owned by Dynamics Mobile or its licensors. Your rights to use the Services are defined in the Software License Agreement.
9. Support and Service Levels
Support and service level commitments are governed by your executed Service Level Agreement (SLA). Any references to support in these Terms are subject to and limited by the SLA.
10. Disclaimers and Liability
All disclaimers of warranties and limitations of liability are contained in the Software License Agreement and your Subscription Agreement.
11. Changes to These Terms
We may update these Terms from time to time. Updated Terms will be posted on our website. Continued use of the Services after updates constitutes acceptance.
